Mergers: EU Commission clears creation of a joint venture by subsidiaries of Lufthansa and Volkswagen

 

The European Commission has approved, under the EU Merger Regulation, the creation of a new joint venture by Lufthansa Industry Solutions AS GmbH (‘LHIND’) and A4nXT GmbH (‘A4nXT’), both of Germany. The joint venture will provide IT consulting and ancillary services to Volkswagen and to third parties in the automotive industry and other sectors. LHIND is a subsidiary of the Lufthansa Group and provides IT consulting services. A4nXT is a holding company and part of the Volkswagen Group. The Commission concluded that the proposed acquisition would raise no competition concerns given the joint venture’s limited foreseen activity in the European Economic Area, and the limited overlaps between the companies’ activities. The transaction was examined under the simplified merger review procedure.
