Mergers: EU Commission clears acquisition of McAfee by Advent and Permira

The European Commission has approved, under the EU Merger Regulation, the acquisition of joint control of McAfee Corp. by Advent International Corporation (‘Advent’), both of the US, and Permira Holdings Limited (‘Permira’) of the UK.

McAfee is a security technology company that provides advanced security solutions to consumers. Advent is a private equity investor with holdings in various sectors, including healthcare, industrial, technology, retail, consumer and leisure, and business and financial services.

Permira is a private equity business engaged in the provision of investment management services to a number of investment funds. The Commission concluded that the proposed acquisition would raise no competition concerns, given the very limited horizontal overlaps and vertical relationships between the activities of the companies. The transaction was examined under the simplified merger review procedure.
